Membership Agreement and Waiver

This agreement is between Good2Go Mixed Martial Arts (the company) and Member (the buyer). The Company is a NPO and for the purposes of this agreement, payment is interchangeable with contribution. The term Contract is interchangeable with Agreement.

Installment Payment Method / Authorization for Payment

The Buyer hereby authorizes the Company or its agents and/or assigns to electronically deduct/process on or after the due date for each consecutive billing cycle tuition payments directly from the following bank or credit/debit card accounts according to the terms of this agreement and to resubmit returned/declined items without prior notice. This payment information will be used to collect any balances past due according to the terms.

I HAVE READ AND ACCEPTED ALL TERMS AND CONDITIONS BELOW

1. BUYER FITNESS - By signing this Contract, the Buyer represents, warrants and ensures that he/she has had an opportunity to observe the program selected prior to signing this Contract and that Buyer (or Member, if a minor) he/she is physically and mentally able to take classes offered by the Seller in that program or any others in which Buyer (or Member, if a minor) may participate. This Full Disclosure of Physical Conditions/Informed Consent and Assumption of Risk and Release of Liability is executed on the date of membership or before, and is a material part of, and is incorporated by reference into Good2Go Mixed Martial Arts Membership Agreement executed by the Member. For the purposes of this waiver and the agreement, the terms member and buyer are interchangeable.

1a. The Member certifies that he or she is physically sound and suffering from no condition, impairment, disease, infirmity, or illness that would prevent the members' participation in the Members Activities under this Agreement, except as hereinafter stated.

1b. The Member certifies that he or she has been informed of the need for a physician's approval for participation in the Activities under this Agreement.

1c. The Member certifies that Good2Go Mixed Martial Arts has recommended that the Member have a yearly or more frequent physical examination and consultation with the Members physician as to physical activity, exercise, and use of exercise and training equipment so that the Member may have knowledge that he has either (a) been given permission by the Members physician to participate or (b) that the Member has decided to participate in the Activities under this Agreement without the approval of his physician.

1d. The Member expressly assumes all responsibility for the member's participation in the Activities under this Agreement.

1e. THE MEMBER CERTIFIES THAT THE MEMBER HAS GIVEN FULL AND COMPLETE DISCLOSURE OF ALL PHYSICAL CONDITIONS, IMPAIRMENTS, DISEASES, INFIRMITIES, OR ILLNESSES THAT MIGHT AFFECT OR PREVENT THE MEMBERS PARTICIPATION IN THE ACTIVITIES UNDER THIS AGREEMENT. THE MEMBER REPRESENTS THAT HE HAS NO CONGENITAL, PHYSICAL, OR MENTAL HEALTH PROBLEMS, NO UNDERLYING CARDIOVASCULAR, NEUROLOGICAL, OR ANY ILLNESS, OR CONDITION WHICH MIGHT AFFECT OR PREVENT THE MEMBERS PARTICIPATION IN THE ACTIVITIES UNDER THIS AGREEMENT.

2. INFORMED CONSENT AND ASSUMPTION OF RISK

2a. The Member enters into this Agreement with full knowledge of all the risks and benefits associated with the Activities under this Agreement. The Member certifies that the member is of a legal age to enter into an agreement and is not mentally incapacitated. The Member certifies that he enters into this Agreement without duress, undue influence, and for valuable consideration. Legal guardians and/or parents of members less than 18 years of age authorize and accept terms listed on the member's behalf.

2b. The Member certifies he or she understands the risks associated with participation in the Activities under this Agreement including, but not limited to physical injury resulting from the acts, omissions, and/or negligence of others. The Member certifies that the Member knows and fully understands the importance and relevance of all the risks, and expressly and voluntarily assumes any and all risks associated with the Members participating in the Activities under this Agreement, including but not limited to the activities of training; exercise; aerobics and aerobic conditioning and training; martial arts training; weight training; circuit training; cardiovascular exercise and training; use of machinery, training equipment, free weights, circuit machinery, and cardiovascular machines; stretching; weight lifting; testing, including but not limited to testing of the cardiovascular system, heart rate, muscle strength, endurance, and flexibility; and any other training activities, techniques, and/or exercises. Further, the Member expressly and voluntarily assumes any and all risk associated with the Members participating in the Activities under this Agreement, including but not limited to the risks of dizziness; strains and/or sprains; fractures of any kind; syncope (fainting); arrhythmia (alteration in heart rhythm); dyspnea (shortness of breath); angina pectoris (chest pain); tachycardia (rapid resting heart rate over 100 beats per minute); myocardial infarction (heart attack); cerebrovascular accident (stroke); dysrhythmia (the abnormal rhythm of brain waves or heart rhythm), and/or any other physical injury, due to any cause whatsoever.

2c. Waiver and Indemnity-The Member agrees to indemnify the staff, coaches, and/or Instructors for any injuries, illnesses, or expenses from the Members participation, including if the Member has neglected to disclose a known medical condition or similar information that might affect the Members ability to participate in the Combat Sports, Family, and/or Martial Arts program(s). In consideration of being allowed to participate on behalf of Good2Go Mixed Martial Arts in martial arts, combat sports, and family programs and related events and activities, the undersigned acknowledges, appreciates, and agrees that:

  1. Participation includes possible exposure to and illness from infectious diseases including but not limited to MRSA, influenza, and COVID-19. While rules and personal discipline may reduce this risk, the risk of serious illness and death does exist; and,

  2. I KNOWINGLY AND FREELY ASSUME ALL SUCH RISKS, both known and unknown, EVEN IF ARISING FROM THE NEGLIGENCE OF THE RELEASEES or others, and assume full responsibility for my participation; and,

  3. I willingly agree to comply with the stated and customary terms and conditions for participation as regards protection against infectious diseases. If, however, I observe any unusual or significant hazard during my presence or participation, I will remove myself from participation and bring such to the attention of the nearest official immediately; and,

  4. I, for myself and on behalf of my heirs, assigns, personal representatives, and next of kin, HEREBY RELEASE AND HOLD HARMLESS (insert name of sports organization) their officers, officials, agents, and/or employees, other participants, sponsoring agencies, sponsors, advertisers, and if applicable, owners and lessors of premises used to conduct the event ("RELEASEES"), WITH RESPECT TO ANY AND ALL ILLNESS, DISABILITY, DEATH, or loss or damage to person or property, WHETHER ARISING FROM THE NEGLIGENCE OF RELEASEES OR OTHERWISE, to the fullest extent permitted by law.

3. RELEASE OF LIABILITY

3a. Member certifies that the Member voluntarily agrees to participate in the activities under this Agreement, including but not limited to the activities of training; exercise; aerobics and aerobic conditioning and training; martial arts; weight training; circuit training; cardiovascular exercise and training; use of machinery, training equipment, free weights, circuit machinery, and cardiovascular machines; stretching; weight lifting; testing, including but not limited to testing of the cardiovascular system, heart rate, muscle strength, endurance, and flexibility; and any other training activities, techniques, and/or exercise. The Member further agrees to follow all rules set forth by Good2Go Mixed Martial Arts and its Trainers.

3b. In consideration of the privilege of participating in the Activities under this Agreement, and the training services provided by Good2Go Mixed Martial Arts and its Coaches, instructors, staff, the Member for himself, his heirs, assigns, administrators, executors, and/or all members of his family, including minors, waives, releases, holds harmless and forever discharges Good2Go Mixed Martial Arts its successors in interest, assigns, servants, agents, employees, independent Agreementors, associates, officers, directors, officials and any other participants in the Activities under this Agreement, from any and all responsibility, liability, claims and demands of any kind and nature, damages, actions, causes of action of any kind, whether now known or unknown, or which the Member may have now, or which may hereafter accrue to the Member (collectively, the Claims), including but not limited to Claims based upon or related to dizziness; strains and/or sprains; fractures of any kind; syncope (fainting); arrhythmia (alteration in heart rhythm); dyspnea (shortness of breath); angina pectoris (chest pain); tachycardia (rapid resting heart rate over 100 beats per minute); myocardial infarction (heart attack); cerebrovascular accident (stroke); dysrhythmia (abnormal rhythm of brain waves or heart rhythm); and/or any other physical injury, due to any cause whatsoever, including the act or omission, negligence or any other fault of Good2Go Mixed Martial Arts, its successors in interest, assigns, servants, agents, employees, independent contractors, independent Agreementors, associates, officers, directors, officials and any other participants in the Activities under this Agreement.

3c. For the purposes of this agreement, 'Good2Go Mixed Martial Arts' refers to Good2Go Mixed Martial Arts; the term 'Member' refers to Good2Go Mixed Martial Arts Members and anyone who steps foot in the training facility. Coaches, trainers, instructors, and any other name applicable at Good2Go Mixed Martial Arts are not doctors or registered dietitians. The contents of this document or any provided communication medium should not be taken as medical advice. It is not intended to diagnose, treat, care, or prevent any health problem – nor is it intended to replace the advice of a physician. Always consult your physician or qualified health professional on any matters regarding your health. By participating in this program, you are agreeing to accept full responsibility for your actions. All documents included or exchanged between Good2Go Mixed Martial Arts and the Member are that of Good2Go Mixed Martial Arts and not to be copied, sold, or redistributed without the consent of Good2Go Mixed Martial Arts Member(s) are over 18 and are truthful in the information disclosed on the site and agree to what he or she is buying and to pay for it. If the member is under the age of 18 years of age then the guardian consents to all terms and conditions listed in this agreement and is the individual completing this form. The member agrees not to copy materials on the site or materials sent electronically, not to reverse engineer or break into the site, and not to use the website materials, products, or services to violate the law. Member agrees to use the site as per the instructions, not to disclose his password to others for use.

3d. As with any exercise and/or martial arts program, you assume certain risks to your health and safety by following Good2Go Mixed Martial Arts Any form of exercise can cause injuries if the exercises are performed incorrectly, and Good2Go Mixed Martial Arts is no exception. It is possible that you may become injured doing the exercises in this program, especially if they are done with poor form. Although thorough instruction is included on the form for each exercise, realize that Good2Go Mixed Martial Arts (like any other exercise program) does involve a risk of injury. It is possible that you will not lose fat, gain muscle, or get an ab definition with this program. It is also possible that you will gain fat, lose muscle, and lose ab definition. It is disclaimed that any testimonials are not claimed to represent typical results with the program. They are meant as a showcase of what the most motivated and dedicated members can do with the program. Your results may vary, and you may not get the same results when using this program due to differences in your individual exercise history, genetics, and personal motivation. 4. LIABILITY, WAIVER, AND RELEASE - The Buyer understands and acknowledges strict observation of the Seller's rules and regulations, including the rules and regulations relative to training and the use of protective equipment, is required. The Buyer understands and agrees that the use of the Seller's facilities and the Buyer's (or Member, if a Minor) presence at the Seller's school are at the sole risk of the Buyer (and Member, if a Minor). The Buyer understands and acknowledges that the martial arts and combat sports involve skills and training which include violent and sudden movements and that in connection with the training and instruction, there will be physical contact between instructors and Buyers (or Members, if a Minor) and between and among the Buyer (or Member, if a Minor) and other Buyers (or Members, if a Minor). The Buyer understands and acknowledges that such contact may result in personal injury to the Buyer (or Member, if a Minor, despite precautions taken by the Seller to avoid such injuries. Buyer, individually and on behalf of (Member, if a Minor) acknowledges martial arts instruction has the potential for serious injuries including but not limited to knee, head, neck, joint or spinal injuries, and includes cardiovascular exercise which should not be undertaken by individuals with heart defects or high blood pressure. The Buyer, individually on behalf of him/herself, (and Member, if a Minor) and anyone claiming by or through the Buyer (and Member, if a Minor), hereby agrees to hold harmless, release, indemnify, and forever discharge its officers, directors and employees, instructors, agents and authorized representatives from any liability, claim or loss, including loss of property, damage, personal injury, or expense incurred by the Buyer (and/or Member, if a minor) and arising from the Buyer's execution of this contract, participation in any program offered by the Seller, including but not limited to, any injury or damage caused by the negligence or gross negligence of the Seller, it's instructors, Buyers, agents, employees, operators, or authorized representatives. The Buyer specifically understands and agrees that he/she is assuming the risk of any and all injuries that he/she may suffer or incur as a result of his/her participation in any program offered by the Seller therefore buyer agrees and waives all rights for any legal actions or harm to the buyer.  

FOR PARTICIPANTS OF MINORITY AGE (UNDER AGE 18 AT THE TIME OF REGISTRATION) This is to certify that I, as parent/guardian, with legal responsibility for this participant, have read and explained the provisions in this waiver/release to my child/ward including the risks of presence and participation and his/her personal responsibilities for adhering to the rules and regulations for protection against communicable diseases. Furthermore, my child/ward understands and accepts these risks and responsibilities. I for myself, my spouse, and child/ward do consent and agree to his/her release provided above for all the Releasees and myself, my spouse, and child/ward do release and agree to indemnify and hold harmless the Releasees for any and all liabilities incident to my minor child's/ward's presence or participation in these activities as provided above, EVEN IF ARISING FROM THEIR NEGLIGENCE to the fullest extent provided by law.

5. CLASSES & TESTING- Scheduling and content of classes and programs and furnishing of facilities and instructors are at the sole and absolute discretion of the Seller and may be changed at any time by Seller without notice. Buyer (and/or Member, if a minor) must purchase all equipment from Seller according to the curriculum of the Seller & participate in Seller sponsored tournaments and events, there are additional fees to these events. Seller will provide instructors to teach and supervise classes, practice sessions, and contests conducted by the Seller. Buyer understands that during the course of instruction, Seller instructors, authorized personnel, and/or other Buyers will be engaged in a course of conduct requiring physical contact with the Buyer. Buyer (and/or on behalf of Member, if a minor) hereby consents to engage in such contact as may be necessary or required by Buyer's (and/or on behalf of Member, if a minor) participation in the training program and/or classes. Upon recommendation by Seller, the Buyer (and/or Member, if a minor) must test. Seller reserves the right to expel, terminate, suspend Buyer (and/or Member, if a minor) in Seller's sole discretion. Upon recommendation, Buyer (and/or Member, if a minor) students are encouraged to participate in all special events. 

6. CANCELLATION -To cancel this Contract pursuant to any right contained herein the Buyer must notify the seller in writing by mail only to 100 Founders Way, #4, Strasburg, VA 22657 . If cancellation notice is not received within 30 days of renewal, membership auto-renews. Buyer agrees to waive any rights to publish negative/derogatory reviews via online & social media. You may also cancel if you develop a full disability which prohibits you from participating in the Good2Go Mixed Martial Arts program, by having his/her physician fill out a Disability Form provided by Good2Go Mixed Martial Arts This form must be delivered directly from a doctor's office to be accepted. A doctor's note will not be accepted. For minor injuries, the decision is left to Good2Go Mixed Martial Arts managements' discretion to extend the membership to account for the time lost, or not. You may terminate this agreement if you move your residence more than 50 miles away from any Good2Go Mixed Martial Arts location offering the program enrolled in. For termination, due to a permanent move, a written notice of 30 days must be sent to Good2Go Mixed Martial Arts by certified mail with legitimate verification of the move, any fees already collected are non-refundable. 

 7. ACCEPTANCE OF BUYER -The Buyer agrees to fully and completely comply with all the terms and conditions hereof and the Seller's rules and regulations. AUTO-RENEWAL NOTICE, after the fulfillment of membership length, the membership will auto-renew at the same membership unless 30 days' written notice is provided. No refunds on any paid tuition or purchases. Programs paid in full and all forms of memberships cannot be put on hold and missed times cannot be added. Buyer's (and/or Member's, if a minor) failure to comply with the Seller's rules and regulations shall be grounds for immediate suspension or termination of the Buyer (and/or Member, if a minor). The suspension or termination of Buyer (and/or Member, if a minor) shall not entitle the Buyer to a refund or credit for any tuition or test fees already paid or shall act as a cancellation of any unpaid balance due. Upon the suspension and/or termination of the Buyer (and/or Member, if a minor), the entire remaining Contract balance shall be immediately due and payable as liquidated damages and not as a penalty. The failure or inability of Buyer (and/or Member, if a minor) to use the facilities, classes, or services of the Seller for any reason, except as otherwise provided herein shall not relieve or suspend the Buyer's obligation to make all payments required under this Contract. Seller reserves the right to use all photos, videos, and or audios taken of Buyer (and/or Member, if a minor) for promotional, marketing, and any other purposes for the Seller's benefit. Buyer (and/or Member, if a minor) acknowledges that there are additional charges for, retail, equipment, special events, tournaments, change of uniforms and rank promotion examinations which are not included in the price of this contract. Seller at notice may relocate within fifty miles from its current location, and or to another affiliate location and the same membership terms apply. This contract is non-transferable and upon the termination of this agreement by the seller no refund shall be due. A cosigner, any person(s) signing this agreement as a co-signer or co-buyer shall be jointly, severally, and individually liable to Dealer and its billing company for the full contract price as if such person signed as the Member. During this membership agreement, in the case that I am unable to attend classes, I understand that I will continue to be billed as agreed upon in this contract. In the case that I receive a diagnosed injury or am required to travel for work for an extended period of time, I understand that I am able to place my membership on hold for a minimum of one month but no longer than six months and receive credit for the time that I am gone by either submitting a written letter 7 days in advance, notifying a representative of Good2Go Mixed Martial Arts of the reason I will be gone and the dates of departure and return, or I may hand-deliver my notice and get a signed statement from an official at Good2Go Mixed Martial Arts acknowledging the receipt of my notice. The time away will extend the membership length respectively.

8. MEDICAL DISABILITY - By written notice to Seller, the Buyer may extend the term of the Contract at no additional cost for a period equal to the duration of the buyer's short-term disability, verified in writing by a licensed medical doctor. This contract may be canceled upon notice of a permanent disability by a certified medical doctor (chiropractic is exempt) stating a detailed explanation of permanent long-term disability. For all medical releases, the M.D./doctor must provide a notarized signed document to be fully released of obligations. WARNING: The physician will be held liable for the remaining term of this agreement for falsifying or incomplete medical information for the buyer to cancel this agreement. The buyer must provide from the M.D. notarized signed letter stating the medical condition(s) 

9. DEFAULT - The non-payment of scheduled monthly payments of more than 60 days shall constitute a default under this contract. In the event of default, the entire amount owed hereunder shall become immediately due and payable as liquidated damages and not as a penalty. All payment information provided will be used for full or partial payments due. No refunds on retail, test fees, and paid tuition. Effect of Termination-In the event the Member terminates this Agreement, Good2Go Mixed Martial Arts. shall retain all payments made for all unused Training Sessions or packages. In the event the Seller terminates this Agreement, the Seller shall refund to the Member all payments made for unused portions of membership or packages. 

10. ATTORNEYS FEES- The undersigned acknowledges that all accounts are due and payable within 30 days of the invoice date. Seller reserves the right to charge an interest charge of 1.5% per month will be applied to any unpaid balance after thirty (30) days. In the event this account is in default, the buyer agrees to pay all costs of collection, including collection agency fees, court costs, and attorney fees, whether the suit is filed or not. If the suit is filed, the venue will be the same county as a business address. 

10a. COMPLIANCE WITH LAWS - This Contract shall be governed by the laws of the State of location and venue for any action arising out of this Contract shall be in the same county as a business address. All rights and obligations of the Seller and Buyer under this Contract are subject to all applicable federal, state, and local laws and regulations. To the extent that the terms and conditions of this Contract conflict with any applicable statute, rule, or regulation in effect at the time of execution of this Contract governing transactions of the type contained herein, the Contract shall be deemed revised to conform with such statutes, rules, and regulations. The Seller and Buyer shall be bound by the modified Contract and agree that no other modifications shall be enforceable unless in writing and signed by the parties. This Contract constitutes the entire Contract between the parties and supersedes all prior Contracts between the parties, whether written or oral. The invalidity or unenforceability of any provision hereof shall not affect the validity or enforceability of any other provision. The waiver of any breach shall not constitute a waiver of any subsequent breach of this Contract. 

11. PAYMENT PROCESSING- Buyer acknowledges that Seller utilizes the services of a third-party payment processing collection company, balance will be reported to the credit bureau. Seller's liability for any payments wrongfully processed or collected shall be solely limited to such wrongful amounts. Whether bank charges, attorney's fees, or other costs or expenses, Buyer agrees to hold harmless and indemnify Seller from the same. Approved refunds shall be paid 20 days after receipt of the notice of such wrongful charge collected by Seller. Buyer also agrees not to back charge any transactions to their credit/debit card company.

11a. RECURRING PAYMENTS- The member understands they are enrolling in a martial art, combat sports, and/or family program(s) for the period marked. All funds will be paid to Good2Go Mixed Martial Arts. The member understands that he/she is responsible for making sure that there are enough funds in the checking account or credit card. on the day scheduled for payment. The authorization was extended by me to Good2Go Mixed Martial Arts and/or its authorized agents or firms engaged in the business of processing check and charge card debts. I understand all payments are NON-REFUNDABLE. I understand the agreed monthly debit for membership will continue on a recurring, month-to-month basis at the same monthly rate using the billing information provided. I understand that membership rates, class availability, and program selections may change without notice.

12. VOLUNTARY ENROLLMENT- The member voluntarily enrolls in SMS, email, and phone communication from Good2Go Mixed Martial Arts Data and message rates may apply. 

13. Entire Agreement-This Agreement (including the Full Disclosure of Physical Conditions/Informed Consent and Assumption of the Risk and Release of Liability) constitutes the entire agreement of the Parties and supersedes any and all previous understanding, agreements, arrangements, or discussions, written or oral, between the Parties relating hereto. There are no collateral agreements, representations, or guarantees, oral or otherwise unless attached hereto and signed by both Parties. The electronic agreement of terms and conditions listed is binding at the time of purchase. Duo Memberships are valid for 2 related persons only. Family memberships are valid for 4 related members only.

Warranties-There are no warranties either express or implied in this Agreement that are not expressly contained in this Agreement.

Applicable Law-This Agreement shall be governed by the laws of the State of Virginia.
